These Terms and Conditions ("Terms") govern your access to and use of the XORPAY platform ("Platform", "Service") operated by BARG INFO SOLUTIONS ("Company", "we", "us"). By registering for or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age, a resident of India, and legally competent to enter into contracts under the Indian Contract Act, 1872. You must complete KYC verification (selfie, Aadhaar, PAN and bank proof) before using paid features.

2. Account

You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for suspected fraud, non-compliance or breach of these Terms.

3. Nature of Service

XORPAY is a software platform enabling authorized users (Super Distributors, Distributors, Retail Agents) to collect digital payments from customers and disburse funds to Indian bank accounts. Actual payment processing and payouts are performed by RBI-licensed payment aggregators and payout partners. We do not hold customer funds and do not store card data.

4. Charges & Pricing

Applicable charges (percentage on card acceptance, flat fee on bank payouts) are set by the Super Admin of your organization and displayed on your dashboard prior to each transaction. All charges are inclusive of GST unless stated otherwise. Charges are non-refundable once a transaction is authorized by the customer.

5. Prohibited Use

  • Money laundering, terrorism financing, or any activity prohibited by RBI, FIU-IND or law enforcement.
  • Use of stolen, forged or unauthorized cards.
  • Self-transactions or circular funding intended to convert card or credit limits to cash.
  • Sale of prohibited goods or services under Indian law.
  • Reverse-engineering, scraping, or overloading the Platform.

6. KYC & Verification

You agree to provide accurate KYC documents and consent to their verification with issuing authorities and our regulated partners. Providing false information will result in immediate account termination and reporting to authorities.

7. Chargebacks & Disputes

You are liable for any chargebacks, reversals or disputes arising from transactions processed under your account, including associated fees. We may debit your wallet or hold settlements pending resolution.

8. Intellectual Property

All content, code, trademarks and design of the Platform are the property of BARG INFO SOLUTIONS. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the total charges paid by you to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages.

10. Indemnity

You agree to indemnify and hold harmless BARG INFO SOLUTIONS and its partners from any claim, loss, or damage arising out of your breach of these Terms, misuse of the Service, or violation of any law.

11. Termination

Either party may terminate the account with 30 days' notice. We may suspend or terminate immediately for breach, suspected fraud, or regulatory direction. On termination, any wallet balance (net of pending charges and disputes) shall be transferred to your verified bank account within a reasonable period.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at the registered office of BARG INFO SOLUTIONS shall have exclusive jurisdiction.
